These Terms of Service ("Terms") govern your access to and use of the website located at www.aipower.pro and any software, managed spend, procurement, expense-management, implementation, consulting, or related services provided by AIPower, Inc. ("AIPower," "we," "us," or "our").
By accessing the website, creating an account, submitting information, signing an order form, or using our services, you agree to these Terms.
If you use the services on behalf of a company or other organization, you represent that you have authority to bind that organization. In that case, "you" and "Customer" refer to that organization.
1.Business Use
The services are intended primarily for legitimate business and commercial use by individuals who are at least 18 years old.
You may not use the services for personal, family, or household purposes unless AIPower expressly permits such use in writing.
2.AIPower's Services
AIPower provides technology and business services that may include:
- AI-powered spend-management software;
- Managed procurement and vendor-payment coordination;
- Subscription and vendor-management tools;
- Expense controls, reporting, and operational support;
- Technology implementation, integration, deployment, and training;
- Access to or integration with services offered by third-party banking, card, payment, or technology providers.
The particular services provided to a Customer may be described in an order form, statement of work, service agreement, online order, or other written agreement.
If a separate written agreement conflicts with these Terms, the separate written agreement will control for the applicable services.
3.AIPower Is Not a Bank
AIPower is a technology company. AIPower is not a bank, insured depository institution, card network, or government agency.
Unless expressly stated in a separate written agreement, AIPower does not provide deposit accounts, deposit insurance, money-transmission services, stored-value accounts, or investment services.
Card issuance, banking, payment processing, settlement, identity verification, and other regulated financial activities are performed by independent banks, issuers, payment providers, program managers, card networks, or other regulated partners.
Availability and use of partner-provided services may be subject to separate agreements, eligibility requirements, underwriting, compliance review, transaction limits, and partner policies.
5.Customer Verification and Compliance
You agree to provide information and documents reasonably requested by AIPower or its partners, including information concerning:
- Company formation and good standing;
- Ownership and control;
- Directors, officers, administrators, and authorized users;
- Business activities and expected use;
- Source and purpose of funds;
- Vendors, customers, transactions, invoices, and supporting records;
- Tax identification;
- Identity verification;
- Sanctions, fraud, anti-money-laundering, or other compliance matters.
We may share this information with relevant partners and service providers as described in our Privacy Policy.
Failure to provide requested information may result in delayed onboarding, restricted services, rejected transactions, suspension, or termination.
6.Acceptable Use
You may use the services only for lawful and legitimate business purposes.
You may not use, attempt to use, or permit another person to use the services:
- In violation of applicable law, regulation, sanctions, card-network rules, or partner requirements;
- For fraud, deception, money laundering, terrorist financing, tax evasion, or other unlawful activity;
- To process or transmit funds for undisclosed third parties;
- To misrepresent the purpose, source, beneficiary, or nature of a transaction;
- To operate an unlicensed money-services, payment-processing, currency-exchange, stored-value, gambling, lending, securities, or financial-services business;
- For unauthorized card resale, card renting, credential sharing, or account brokering;
- To purchase unlawful goods or services;
- To evade transaction controls, spending restrictions, underwriting, sanctions, or compliance reviews;
- To interfere with, disrupt, reverse engineer, probe, scrape, or compromise the website or services;
- To introduce malware or access data without authorization;
- To infringe intellectual-property, privacy, confidentiality, or other rights;
- In a manner that creates unreasonable legal, financial, reputational, security, or operational risk.
We may investigate suspected violations and cooperate with banks, providers, networks, regulators, and law-enforcement authorities where appropriate.
7.Transactions and Partner Services
Transactions facilitated through third-party providers may be subject to:
- Partner approval;
- Available balances or credit;
- Spending and transaction limits;
- Vendor or merchant acceptance;
- Fraud and compliance screening;
- Processing delays, cut-off times, holidays, and network availability;
- Returns, reversals, disputes, chargebacks, or additional documentation;
- Separate fees and partner terms.
A transaction displayed as pending, submitted, initiated, or processing is not necessarily final.
AIPower does not guarantee that a transaction, card, transfer, integration, or third-party service will be approved, accepted, completed, or continuously available.
8.Fees and Payment
Fees will be described on the website, in an order form, invoice, statement of work, service agreement, or other written communication.
Unless otherwise stated:
- Fees are quoted in U.S. dollars;
- Fees are non-refundable once the applicable service has been performed or made available;
- You are responsible for applicable taxes, excluding taxes based on AIPower's net income;
- Overdue amounts may result in service suspension;
- You must promptly notify us of a good-faith billing dispute.
We may change generally applicable pricing prospectively. Changes will not modify a signed fixed-price order during its stated term unless the relevant agreement allows such a change.
9.Customer Data
"Customer Data" means information, files, transaction records, documents, instructions, and other content submitted by or for Customer through the services.
As between AIPower and Customer, Customer retains its rights in Customer Data.
Customer grants AIPower a limited, non-exclusive right to host, process, reproduce, transmit, and use Customer Data as reasonably necessary to:
- Provide and support the services;
- Maintain security and prevent fraud;
- Comply with law and partner requirements;
- Enforce applicable agreements;
- Improve the services using aggregated or de-identified information.
Customer represents that it has all rights and permissions needed for AIPower and its service providers to process Customer Data.
10.Confidentiality
Each party may receive non-public information belonging to the other party.
The receiving party will:
- Use confidential information only for the purposes of the business relationship;
- Apply reasonable safeguards;
- Disclose confidential information only to personnel, advisers, and service providers with a need to know and appropriate confidentiality obligations.
Confidential information does not include information that the receiving party can demonstrate:
- Is publicly available without breach;
- Was lawfully known without a confidentiality obligation;
- Was independently developed;
- Was lawfully received from another source.
A party may disclose confidential information when legally required, provided it gives notice where legally permitted.
11.Intellectual Property
AIPower and its licensors retain all rights in the website, services, software, interfaces, workflows, documentation, designs, trademarks, and related technology.
Subject to these Terms and any applicable order form, AIPower grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to use the services during the applicable service term for Customer's internal business purposes.
You may not:
- Copy, modify, sell, lease, sublicense, or distribute the services;
- Reverse engineer or attempt to extract source code, except where such restriction is prohibited by law;
- Remove proprietary notices;
- Use the services to develop a competing product using AIPower's confidential information;
- Use AIPower's name, trademarks, or branding without permission.
If you provide suggestions or feedback, AIPower may use them without restriction or compensation, provided we do not publicly identify you without permission.
12.Third-Party Services
The services may depend on or integrate with third-party platforms.
Third-party services are governed by their own agreements and policies. AIPower does not control and is not responsible for third-party:
- Approval or onboarding decisions;
- Service availability;
- Security incidents;
- Transaction decisions;
- Fees;
- Data practices;
- Product changes;
- Account suspensions or closures.
We may change, replace, suspend, or discontinue an integration when required by a provider, law, security concern, or operational necessity.
13.Suspension and Termination
AIPower may suspend or restrict access immediately when reasonably necessary to:
- Prevent fraud or unauthorized activity;
- Protect customers, partners, systems, or third parties;
- Comply with law, legal process, sanctions, network rules, or partner instructions;
- Investigate suspected violations;
- Address overdue fees;
- Respond to inaccurate, incomplete, or misleading information;
- Manage material legal, compliance, financial, security, or reputational risk.
Either party may terminate services as provided in the applicable order form or written agreement.
Upon termination:
- Your right to use the services ends;
- Outstanding fees remain payable;
- Transactions already submitted may continue to process;
- Provisions that by their nature should survive will remain effective, including provisions concerning fees, confidentiality, intellectual property, disclaimers, liability, indemnification, and disputes.
14.Disclaimer of Warranties
To the maximum extent permitted by law, the website and services are provided on an "as is" and "as available" basis.
AIPower disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.
AIPower does not warrant that:
- The services will be uninterrupted, error-free, or completely secure;
- Every transaction will be approved or completed;
- A third-party bank, issuer, provider, network, merchant, or vendor will accept or continue providing a service;
- Data, forecasts, recommendations, categorizations, or AI-generated outputs will always be accurate or complete;
- The services will satisfy every legal, accounting, tax, or regulatory requirement applicable to your business.
You remain responsible for reviewing transactions, instructions, reports, recommendations, and AI-generated outputs before relying on them.
15.Limitation of Liability
To the maximum extent permitted by law, AIPower and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, business opportunities, goodwill, or anticipated savings.
Except for liability that cannot legally be limited, AIPower's total aggregate liability arising from or relating to the services will not exceed the greater of:
- The amount paid by Customer to AIPower for the affected services during the three months immediately preceding the event giving rise to the claim; or
- One hundred U.S. dollars.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.
A separate written agreement may establish different liability limits for the services covered by that agreement.
16.Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless AIPower and its affiliates, officers, directors, employees, contractors, and partners from claims, losses, liabilities, penalties, damages, and reasonable legal expenses arising from:
- Your misuse of the services;
- Your violation of these Terms;
- Your violation of law or third-party rights;
- Customer Data or instructions supplied by you;
- Fraudulent, unauthorized, misleading, or prohibited activity by you or your users;
- Your products, services, vendors, customers, or business operations.
AIPower will provide reasonable notice of an indemnified claim and reasonable cooperation at your expense.
17.Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Unless a separate written agreement provides otherwise, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms, and each party consents to that jurisdiction and venue.
Before filing a claim, the parties agree to make reasonable good-faith efforts to resolve the dispute through written notice and business discussions.
18.Changes to the Services or Terms
We may update the website, services, or these Terms periodically.
Updated Terms will be posted with a revised "Last Updated" date. Changes apply prospectively from their stated effective date.
If a change materially affects an active paid service, we will provide notice where required by law or the applicable agreement.
Continued use after the effective date of updated Terms constitutes acceptance of the updated Terms.
19.Electronic Communications
You consent to receiving agreements, notices, disclosures, invoices, and other communications electronically.
Electronic communications satisfy legal requirements that communications be in writing, to the extent permitted by law.
20.General Provisions
These Terms and any applicable written service agreement constitute the agreement between the parties concerning their subject matter.
You may not assign these Terms without AIPower's prior written consent. AIPower may assign them as part of a merger, reorganization, financing, sale of assets, or transfer to an affiliate.
Failure to enforce a provision is not a waiver.
If a provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will continue in effect.
Headings are for convenience only.
Neither party is liable for delays caused by events beyond its reasonable control, except for payment obligations.
